1. Acceptance of Terms

By downloading, installing, or using the Upkeeply mobile application ("App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Upkeeply is a home maintenance tracking application that helps users:

  • Track and schedule home maintenance tasks
  • Receive reminders for maintenance activities
  • Store maintenance records and photos
  • Calculate property health scores
  • Receive cost estimates and potential savings information
  • Access maintenance templates and recommendations
  • Find nearby service providers for maintenance tasks
  • Access curated DIY video tutorials for home maintenance

3. User Accounts

3.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must be at least 18 years old to create an account

3.2 Account Security

  • You must immediately notify us of any unauthorized use of your account
  • We are not liable for any loss or damage arising from your failure to protect your account information

4. Privacy and Data Collection

  • Maintenance schedules and recommendations are general guidelines only
  • We do not guarantee that following our recommendations will prevent property damage
  • You should consult with qualified professionals for specific maintenance needs
  • Local climate, building codes, and property conditions may require different maintenance schedules

5.2 Cost Estimates and Property Value

  • Cost estimates provided by the App are approximations only and not guaranteed to be accurate
  • Actual costs may vary significantly based on location, contractors, materials, and property conditions
  • We do not guarantee that following maintenance recommendations will increase property value
  • Property values are influenced by many factors beyond maintenance
  • The App does not provide financial, real estate, or investment advice

5.3 Service Provider Information (Find a Pro)

  • The App provides a Find a Pro feature that displays nearby service providers sourced from third-party services, including Google Places
  • Provider listings, including business names, ratings, reviews, contact information, and location data, are displayed for informational purposes only
  • Upkeeply does not endorse, recommend, guarantee, or warrant any service provider displayed through the App
  • Upkeeply does not verify the licensing, insurance, qualifications, or quality of work of any listed provider
  • Upkeeply is not a party to any transaction, agreement, or relationship between you and any service provider
  • You are solely responsible for evaluating, selecting, and engaging any service provider
  • Upkeeply shall not be liable for any damages, losses, injuries, costs, or claims arising from or related to your interactions with, or work performed by, any service provider found through the App

5.4 Health Scoring System

  • Property health scores are estimates based on maintenance completion
  • Scores do not reflect actual property condition or value
  • Professional inspections may reveal issues not captured by our scoring system

5.5 DIY Tutorials

  • The App provides a DIY Tutorials feature that displays video tutorials sourced from YouTube
  • Tutorial videos are not created, reviewed, verified, edited, or endorsed by Upkeeply
  • Upkeeply makes no representations or warranties regarding the accuracy, completeness, safety, or suitability of any tutorial content
  • Home maintenance and repair tasks may involve risks including personal injury, property damage, electrical hazards, water damage, structural damage, and exposure to hazardous materials
  • You assume all risk associated with performing any maintenance or repair task, whether or not you viewed a tutorial through the App
  • You should consult a qualified professional before performing any task involving electrical systems, gas lines, structural components, roofing, plumbing beyond basic maintenance, or any task for which professional licensing or expertise is recommended or required by applicable law
  • Upkeeply shall not be liable for any damages, injuries, losses, or costs arising from or related to your reliance on or use of any tutorial content

5.6 Property Data Sources

  • Maintenance tasks, scheduling frequencies, time estimates, and savings calculations are derived from publicly available guidelines published by national contractor associations, home inspection certification bodies, government agencies, and equipment manufacturers
  • Property data displayed in the App, including square footage, bedroom and bathroom counts, year built, and property type, is sourced from third-party property data providers and public records
  • While we endeavor to provide accurate information, Upkeeply does not guarantee the accuracy, completeness, or timeliness of any third-party property data
  • Certain property data is provided by RentCast, a third-party property data service, and is provided "as is" without warranty of any kind
  • You may edit self-reported fields within the App to correct any inaccuracies
  • Upkeeply is not a licensed home inspector, contractor, real estate appraiser, or professional advisor
  • Information provided through the App does not constitute professional advice and should not be relied upon as a substitute for consultation with qualified professionals

6. User Content and Conduct

6.1 Your Content

  • You retain ownership of photos, documents, and other content you upload
  • You grant us a license to use, store, and display your content as necessary to provide services
  • You are responsible for ensuring you have rights to any content you upload
  • You must not upload content that is illegal, harmful, or violates others' rights

6.2 Prohibited Uses

You may not use the App to:

  • Violate any laws or regulations
  • Infringe on others' intellectual property rights
  • Upload malicious software or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use the App for commercial purposes without permission

7. Intellectual Property

7.1 Our Rights

  • The App, including its design, features, and content, is owned by Upkeeply
  • Our trademarks, logos, and brand elements are protected by intellectual property laws
  • You may not copy, modify, or distribute our intellectual property without permission

7.2 Third-Party Content

  • The App may include content licensed from third parties
  • Such content is subject to the respective third-party terms and conditions

8. Subscription and Payment Terms

8.1 Subscription Plans

  • The App offers a free plan with limited features and a Premium subscription with expanded functionality
  • Premium features include unlimited active tasks, unlimited photo storage, full maintenance history access, Find a Pro, and DIY Tutorials
  • Premium Pricing: Monthly at $9.99 per month or Yearly at $99.99 per year, each with a 30-day free trial
  • Subscription features and pricing are subject to change with notice

8.2 Payment Processing

  • Payments are processed through Apple App Store or Google Play Store in-app purchase systems
  • Payment is charged to your Apple ID account or Google Play account at confirmation of purchase
  • Upkeeply does not collect, store, or have access to your payment card numbers, bank account information, or other financial payment instruments
  • You are responsible for applicable taxes
  • Refunds are subject to the policies of Apple or Google, as applicable

8.3 Refund Policy

ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE

  • No refunds will be provided for partial subscription periods
  • If you cancel mid-cycle, you retain access until the end of your current billing period
  • Upkeeply reserves the sole discretion to approve any refunds on a case-by-case basis
  • Refund requests must be submitted in writing to [email protected]
  • Chargebacks or payment disputes may result in immediate account termination

8.4 Auto-Renewal and Cancellation

  • Paid subscriptions automatically renew unless cancelled before the renewal date
  • You can cancel through your device's subscription settings or by contacting support
  • Cancellation takes effect at the end of your current billing period
  • No partial refunds will be provided for early cancellation

9. Third-Party Integrations

9.1 Google Places API

  • The Find a Pro feature uses Google Places API to display nearby service providers
  • Your geographic coordinates are transmitted to Google to perform proximity-based searches
  • Provider data returned by Google is displayed but not stored or cached by Upkeeply
  • Your use of this feature is subject to Google's Terms of Service and Privacy Policy

9.2 YouTube Data API

  • The DIY Tutorials feature uses YouTube Data API to display relevant tutorial videos
  • Search queries are derived from task names and do not contain personally identifiable information
  • Video content is provided by YouTube and its creators; Upkeeply does not host, create, or modify tutorial content
  • By using the DIY Tutorials feature, you agree to be bound by YouTube's Terms of Service (https://www.youtube.com/t/terms)
  • Your use of this feature is also subject to Google's Privacy Policy (https://policies.google.com/privacy)

9.3 Google Address Validation API

  • Your home address is sent to Google Address Validation API to verify accuracy, standardize formatting, and determine geographic coordinates
  • This processing occurs on our servers; validated address data is stored in your account

9.4 RentCast API

  • Your home address is sent to RentCast to retrieve publicly available property characteristics
  • Property data retrieved from RentCast is stored in your account to personalize your maintenance plan
  • RentCast data is provided "as is" without warranty of any kind

9.5 Firebase and Google Cloud

  • The App uses Firebase for authentication, data storage, push notifications, and file storage
  • Your use of these services is subject to Google's Terms of Service
  • Data is stored and processed on Google Cloud infrastructure in the United States

9.6 Email Delivery (Resend)

  • Your email address is provided to Resend, our email delivery service, solely for the purpose of sending transactional emails including account verification, password resets, and maintenance reminders
  • Resend does not use your email address for marketing or any unrelated purpose

10. Termination

10.1 Termination by You

  • You may delete your account at any time through the App settings
  • Upon deletion, all personally identifiable information is permanently removed, including your name, email address, notification tokens, subscription details, and notification preferences
  • Certain non-personal property-level data, including maintenance task history, completion records, home improvement records, uploaded photos, and associated notes, may be retained in de-identified form after account deletion
  • De-identified data is retained solely for the purpose of maintaining a continuous property maintenance record and cannot be used to identify you or be re-associated with your identity
  • By using Upkeeply, you acknowledge and agree that de-identified property maintenance records may be retained after account deletion for the purpose of property history continuity
  • California residents may request complete deletion of all data, including de-identified records, by contacting [email protected]

10.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use the App in ways that could harm our services or other users
  • Fail to pay subscription fees (for paid accounts)

11. Limitation of Liability

11.1 Service Availability

  • The App is provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • Service may be temporarily unavailable for maintenance or technical issues

11.2 Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

  • PROPERTY DAMAGE RESULTING FROM MISSED OR INADEQUATE MAINTENANCE
  • FINANCIAL LOSSES FROM INACCURATE COST ESTIMATES
  • DECREASED PROPERTY VALUES
  • CONTRACTOR PERFORMANCE OR SERVICE QUALITY
  • INJURIES OR PROPERTY DAMAGE RESULTING FROM DIY REPAIRS PERFORMED AFTER VIEWING TUTORIALS IN THE APP
  • DATA LOSS OR SECURITY BREACHES
  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

11.3 Maximum Liability

Our total liability to you for any claims related to the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit to the App

13. Changes to Terms

  • We may update these Terms from time to time
  • Material changes will be communicated through the App or email
  • Continued use of the App after changes constitutes acceptance of new Terms
  • Previous versions of Terms will be archived and available upon request

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

  • We encourage resolving disputes through direct communication first
  • Any legal disputes will be resolved through binding arbitration or in courts of the State of Florida

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • Your entered home address is validated for accuracy and standardized formatting
  • Geographic coordinates are derived from the validated address
  • This processing occurs on our servers

Service Provider Data (Google Places API):

  • When you use the Find a Pro feature, nearby service provider information including business names, ratings, reviews, contact details, and addresses is retrieved based on your stored geographic coordinates
  • Provider data is displayed but not stored or cached by Upkeeply

Tutorial Content (YouTube Data API):

  • When you use the DIY Tutorials feature, video metadata including titles, thumbnails, channel names, and view statistics is retrieved from YouTube based on search queries derived from maintenance task names
  • No personally identifiable information is sent to YouTube
  • Tutorial data is displayed but not stored or cached by Upkeeply

Authentication Services:

  • If you sign in with Google or Apple, we receive basic profile information (name and email address) as permitted by those services

  • No personally identifiable information is shared with YouTube through this feature
  • Subject to YouTube's Terms of Service and Google's Privacy Policy

RentCast API:

  • Your home address is sent to RentCast to retrieve publicly available property characteristics
  • Property data is stored in your account to personalize your maintenance plan

Resend (Email Delivery):

  • Your email address is provided to Resend solely for sending transactional emails including account verification, password resets, daily task reminders, weekly digests, and day-before reminders
  • Resend does not use your email address for marketing or any purpose unrelated to email delivery on our behalf

Payment Processors:

  • Subscription information shared with Apple App Store or Google Play Store
  • We do not receive or store your payment card information

Analytics and Diagnostics:

  • Anonymized usage data for app improvement
  • Crash reporting and performance monitoring services

4.3 Legal Requirements

  • Active Accounts: Data retained while your account is active
  • Inactive Accounts: Data may be deleted after 2 years of inactivity
  • Account Deletion: When you request deletion of your account through the App, all personally identifiable information is immediately and permanently deleted, including your name, email address, notification tokens, subscription details, and notification preferences
  • De-Identified Property Data: Certain non-personal property-level data, including maintenance task history, completion records, home improvement records, uploaded photos, and associated notes, may be retained in de-identified form after account deletion. This data is stripped of all personal identifiers and is retained solely for the purpose of maintaining a continuous property maintenance record that may benefit future owners of the property. This de-identified data cannot be used to identify you or be re-associated with your identity
  • Legal Requirements: Some data may be retained longer to comply with legal obligations

6. Your Privacy Rights and Choices

6.1 Account Management

  • Update: Modify your profile and property information anytime
  • Delete: Delete your account and associated personal data through app settings
